A professional corporation is an entity that is formed with the purpose of carrying out a profession or business that requires special licensing to be practiced. These professions may include attorneys, dentists, physicians, real estate brokers, architects, Certified Public Accountants, etc.
Special statutes are provided by states to these corporations, under which these entities can exist with a single director who is also a professional.
Professional corporations are different to other corporations, as they don’t provide any kind of protection against any liability, which may occur as a result of negligence or malpractice by the professional who is part of the professional corporation.
